ARCHENIS Terms of Service (Global Master Terms) v1.0

 

Article 1 (Purpose)

The purpose of these Terms and Conditions is to stipulate the terms and conditions of use, procedures, and the rights, obligations and responsibilities of the Company and the User regarding the e-commerce and related services (hereinafter referred to as the “Services”) provided on the ARCHENIS online store (including the website and mobile platform, hereinafter referred to as the “Store”) operated by One Object (hereinafter referred to as the “Company”).

 

Article 2 (Definitions)

  1. “The Store” refers to the online business platform established by the Company using information and communications facilities to enable transactions for the provision of goods or services (hereinafter “Products, etc.”) to Users.
  2. “User” refers to both members and non-members who access the Store and use the Services in accordance with these Terms.
  3. “Member” refers to a person who has registered as a member on the Mall and uses the Services via an account.
  4. “Non-member” refers to a person who uses the Services without registering as a member.
  5. “Order” refers to the act of a User requesting the purchase of Products, etc. on the Mall.


Article 3 (Disclosure, Amendment and Interpretation of the Terms and Conditions)

  1. The Company shall post these Terms and Conditions and Company information on the Store.

  2.  

    The Company may amend these Terms and Conditions to the extent that such amendments do not violate applicable laws and regulations, and shall give reasonable notice of any material changes or changes that are disadvantageous to users.

  3.  

    Matters not stipulated in these Terms and Conditions shall be governed by applicable laws and regulations and established commercial practices.

  4.  

    If any mandatory local consumer protection law conflicts with these Terms and Conditions, that mandatory law shall prevail to the extent of the conflict.

 

Article 4 (Provision and Modification of Services)

  1. The Company provides the following services:
    1. Provision of product information and conclusion of purchase contracts
    2. Guidance and processing regarding payment, delivery, exchanges, returns and refunds
    3. Customer support and provision of notices, events and content (optional)
    4. Other ancillary services determined by the Company
  2. The Company may modify the provision of services or products due to stock shortages, specification changes, technical reasons, etc., and shall notify users where necessary.

 


Article 5 (Membership Registration and Accounts)

  1. Users may apply for membership registration in accordance with the procedures established by the Company.
  2. Users warrant that the information provided during the registration and ordering process is accurate, up-to-date and that they have the authority to provide it.
  3. Members are responsible for managing their accounts and passwords, and must notify the Company immediately if unauthorised use is suspected.
  4. The Company may restrict registration or use where there are reasonable grounds, such as false information, impersonation of others or repeated misuse.

 

Article 6 (Orders and Formation of Contract)

  1. A user’s order constitutes an offer to purchase, and the contract is formed when the Company accepts the offer by confirming the order (or commencing dispatch/production, etc.).
  2. The Company may refuse or cancel an order in the following circumstances:
    1. Failure of payment authorisation, stock shortage, pricing/labelling errors, suspicion of fraudulent transactions, regions where delivery is not possible, or other reasonable grounds
  3. Should the Company cancel an order, it shall notify the User as promptly as possible and process the payment amount in accordance with relevant policies and laws.

 

Article 7 (Prices, Payment and Receipts)

  1. Product prices are based on the prices displayed at the time of ordering, and taxes, shipping charges, customs duties, import taxes, customs clearance fees, and similar charges may apply separately in accordance with our policies.

  2.  

    Payment methods, timing of payment, billing currency, exchange rates, foreign transaction fees, and related charges may vary depending on the policies of the payment provider, card issuer, or other relevant financial institution.

  3.  

    The Company may correct obvious pricing errors and, if an order has already been received, may request cancellation, repayment, or another appropriate corrective action after notifying the user.



Article 8 (Delivery, Handover and Transfer of Risk)

  1. Delivery methods, shipping charges, estimated delivery times, and related conditions are subject to the Delivery Policy.

  2.  

    For international deliveries, customs duties, import taxes, customs clearance fees, and similar charges are, in principle, borne by the recipient unless otherwise stated in the Delivery Policy or at checkout.

  3.  

    After the goods have been handed over to the carrier, certain loss, delay, or delivery issues may fall within the carrier’s area of responsibility; however, the Company may provide reasonable assistance with tracking, claims, or related support.

  4.  

    If a parcel is returned due to reasons attributable to the user, such as an incorrect address, refusal of delivery, or prolonged absence, redelivery charges or additional handling costs may apply.

 

Article 9 (Exchanges, Returns and Refunds)

  1. The conditions, procedures, eligibility requirements, cost allocation, and restrictions regarding exchanges, returns, and refunds are governed by the Exchange, Return, and Refund Policy displayed on our website at the time of purchase.

  2.  

    Unless otherwise required by applicable mandatory local law:

     

    (a) for consumers in the EU/EEA, requests to exercise the statutory right of withdrawal must be made within 14 days from delivery, as further described in Annex B; and

    (b) for all other regions, requests for returns or exchanges must be submitted within 7 days of delivery.

  3.  

    Where mandatory local consumer protection laws provide greater rights, those rights shall prevail to the extent applicable.

  4.  

    Made-to-order, customised, clearly personalised, hygiene-sensitive, or used items, as well as items with missing or damaged tags or packaging, may be restricted from cancellation, return, or exchange to the extent permitted by applicable law and our published policies.


 

Article 10 (Rules for the Use of Content and Services)

  1. Users must use the Service solely for lawful purposes and must not engage in the following acts:
    1. Misappropriation of another person’s information, registration of false information, abuse of payment/return/refund processes, system intrusion (hacking/scraping, etc.), defamation, posting of illegal content, or obstruction of business
  2. The Company may restrict the use of the Service or cancel orders where there is reasonable suspicion of a violation.

 


Article 11 (Suspension of Service)

  1. The Company may temporarily suspend the provision of the Service for unavoidable reasons such as maintenance, system failures, security issues, or communication disruptions.

  2.  

    To the maximum extent permitted by applicable law, the Company shall not be liable for indirect or consequential losses arising from such suspension, except where caused by the Company’s wilful misconduct, gross negligence, or any non-excludable liability under mandatory law.

 

Article 12 (Exemption from Liability and Limitation of Liability)

  1. To the maximum extent permitted by applicable law, the Company may limit its liability for damages arising from errors or delays in the provision of services or information, or from third-party services such as payment, delivery, customs clearance, or telecommunications.

  2.  

    Nothing in these Terms shall exclude or limit liability for the Company’s wilful misconduct, gross negligence, fraud, personal injury, or any other liability that cannot be excluded or limited under applicable mandatory law.

 


Article 13 (Personal Data Protection)

The Company shall process personal data in accordance with its Privacy Policy.

 

Article 14 (Dispute Resolution and Governing Law)

  1. The Company and the User shall endeavour to resolve any disputes between them through mutual consultation.

  2. These Terms shall, in principle, be governed by the laws of the Company’s principal place of business, and disputes shall be submitted to the courts having jurisdiction over the Company’s principal place of business, unless otherwise required by applicable mandatory local law.

For users in the EU/EEA : Annex B applies.
For users in Japan : Annex C applies.
For users in China : Annex D applies.
For users in the United States : Annex E applies.
For users in Taiwan : Annex F applies.
For users in Singapore and Hong Kong : Annex G applies.
For users in Vietnam and Thailand : Annex H applies.

Supplementary Provisions

These Terms and Conditions shall come into effect from [24 December 2025].


 

[Annex B] Additional Terms for EU/EEA Consumers

B-1. Mandatory local consumer rights

If you are a consumer residing in the EU/EEA, mandatory consumer protection laws of your country of residence apply to the extent required by applicable law. Nothing in these Terms is intended to limit any non-waivable rights you may have under such laws.

 

B-2. Right of withdrawal (EU distance sales)

For consumers in the EU, you may have the right to withdraw from your online purchase within 14 days without giving any reason. For goods, this period generally expires 14 days after you, or a third party indicated by you (other than the carrier), acquires physical possession of the goods.

 

To exercise this right, you must notify us of your decision to withdraw before the withdrawal period expires. You must then send back the goods without undue delay and, in any event, no later than 14 days after informing us of your withdrawal.

 

B-3. Return shipping costs

Unless we expressly state otherwise, you are responsible for the direct cost of returning goods under the withdrawal right. If we fail to inform you of this before purchase, we may be required to bear those costs. 


B-4. Refunds following withdrawal

If you validly withdraw, we will reimburse all payments received from you, including the standard cost of delivery, without undue delay and, in any event, no later than 14 days from the day we are informed of your decision to withdraw. We may withhold reimbursement until we have received the goods back or you have supplied evidence of having sent back the goods, whichever is earlier. 


Any supplementary delivery costs resulting from your choice of a delivery method other than the least expensive standard delivery method offered by us are not required to be reimbursed. 


B-5. Exceptions to the right of withdrawal

The right of withdrawal may not apply, to the extent permitted by applicable law, to:

  • goods made to your specifications or clearly personalized;
  • sealed goods which are not suitable for return for health or hygiene reasons if they become unsealed after delivery;
  • other categories of goods or services excluded under applicable local law.

 

B-6. Legal guarantee for conformity

For consumers in the EU, goods are covered by a minimum 2-year legal guarantee. If goods are faulty, not as described, or not in conformity with the contract, you may be entitled under applicable law to remedies such as repair, replacement, price reduction, or refund. 


B-7. Governing law and jurisdiction

For EU/EEA consumers, these Terms are governed by the law stated in the main Terms, except that you will also benefit from any mandatory provisions of the law of your country of residence that cannot be derogated from by contract. Any jurisdiction clause in the main Terms applies only to the extent permitted by applicable mandatory consumer law. 

 

 

 

 

[Annex C] Additional Terms for Consumers in Japan

C-1. Mandatory local consumer rights

If you are a consumer residing in Japan, any mandatory consumer protection laws applicable in Japan shall apply to the extent required by law. Nothing in these Terms is intended to limit any non-waivable rights you may have under such laws.

C-2. Required disclosures for mail-order and online sales

For mail-order or online sales to consumers in Japan, the Company will display seller information, product prices, shipping charges and other fees, payment timing and methods, delivery timing, and return or cancellation conditions, as required by applicable law, on the website, product pages, checkout pages, or related policy pages.

C-3. Returns and cancellations

Unless otherwise required by applicable law, returns, exchanges, and cancellations for orders shipped to Japan are governed by the return, exchange, and cancellation policies displayed on our website at the time of purchase. Please review the relevant product page and policy page before placing your order.

C-4. Exceptions for made-to-order and personalised goods

To the extent permitted by applicable law, goods that are made to order, made to your specifications, or clearly personalised may not be cancelled, returned, or exchanged once production has begun or once the order has been confirmed for custom processing.

C-5. Defective, damaged, or non-conforming goods

If goods are defective, damaged, or materially different from their description, you may be entitled under applicable law and our published policies to remedies such as repair, replacement, refund, or other appropriate relief.

C-6. Governing law and jurisdiction (Japan)

For consumers in Japan, these Terms are governed by the law stated in the main Terms, except that any mandatory provisions of Japanese law that cannot be excluded by contract shall prevail to the extent applicable. Any jurisdiction clause in the main Terms applies only to the extent permitted by applicable law.

 

[Annex D] Additional Terms for Consumers in China

D-1. Mandatory consumer protections

If you are a consumer in the People’s Republic of China, mandatory consumer protection laws and regulations applicable in your place of residence shall apply to the extent required by law. Nothing in these Terms is intended to exclude or limit any non-waivable rights you may have under such laws.

D-2. Seven-day no-reason return right for eligible online purchases

For eligible online purchases by consumers in China, you may have a statutory right to return goods within 7 days from receipt without giving any reason, to the extent required by applicable law. The scope, conditions, and limitations of this right shall be determined in accordance with applicable law.

D-3. Exceptions

To the extent permitted by applicable law, certain goods may be excluded from the seven-day no-reason return right, including but not limited to:
- customised goods;
- goods made according to the consumer’s requirements;
- goods with clear personalisation characteristics;
- goods not suitable for return by nature; and
- other categories excluded under applicable law or lawfully disclosed policies.

D-4. Customised and personalised goods

To the extent permitted by applicable law, customised goods, goods made according to your requirements, or clearly personalised goods may not be cancelled, returned, or exchanged after production has begun or once custom processing has been confirmed.

D-5. Returned goods and refunds

Returned goods must satisfy the requirements under applicable law and our published return policy. Where a consumer validly exercises an applicable return right, we will process the refund and related handling in accordance with applicable law and our published procedures.

D-6. Defective, damaged, or non-conforming goods

If goods are defective, damaged, or materially inconsistent with their description, consumers may be entitled under applicable law and our published procedures to appropriate remedies, including return, replacement, or refund.

D-7. Governing law and jurisdiction (China)

For consumers in China, these Terms are governed by the law stated in the main Terms, except that any mandatory provisions of applicable Chinese law that cannot be excluded by contract shall prevail to the extent applicable. Any dispute resolution or jurisdiction clause in the main Terms applies only to the extent permitted by applicable law.

 

[Annex E] Additional Terms for Consumers in the United States

E-1. Mandatory local consumer protections

If you are a consumer in the United States, mandatory consumer protection laws applicable in your state of residence apply to the extent required by law. Nothing in these Terms is intended to limit any non-waivable rights you may have under applicable law.


E-2. Shipping representations and delays

For orders shipped to consumers in the United States, we will have a reasonable basis for any shipment timing stated on our website or at checkout. If no shipment timing is stated, we will have a reasonable basis to believe that the order can be shipped within 30 days, unless otherwise permitted by applicable law. If we are unable to ship within the promised time, or within the otherwise applicable period, we may seek your consent to a delay or provide a refund for the unshipped merchandise, as required by applicable law.


E-3. Returns and cancellations

Unless otherwise required by applicable law, returns, exchanges, and cancellations for orders shipped to the United States are governed by the return, exchange, and cancellation policies displayed on our website at the time of purchase. E-4. Exceptions for made-to-order and personalised items

To the extent permitted by applicable law, goods that are made to order, made to your specifications, or clearly personalised may not be cancelled, returned, or exchanged once production has begun or once the order has been confirmed for custom processing.


E-5. Defective, damaged, or non-conforming goods

If goods are defective, damaged, or materially different from their description, you may be entitled to remedies under applicable law and our published policies, subject to any mandatory consumer protections that apply in your jurisdiction.


E-6. Governing law and jurisdiction (United States)

For consumers in the United States, these Terms are governed by the law stated in the main Terms, except that any mandatory provisions of applicable U.S. federal or state law that cannot be waived by contract shall prevail to the extent applicable. Any jurisdiction clause in the main Terms applies only to the extent permitted by applicable law.

 

[Annex F] Additional Terms for Consumers in Taiwan

F-1. Mandatory local consumer rights

If you are a consumer residing in Taiwan, mandatory consumer protection laws and regulations of Taiwan apply to the extent required by applicable law. Nothing in these Terms is intended to limit any non-waivable rights you may have under such laws.

F-2. Cooling-off period for online purchases

For eligible online purchases by consumers in Taiwan, you may have a statutory cooling-off period, generally allowing you to cancel the purchase within 7 days from receipt of the goods, without giving any reason, to the extent required by applicable law. The specific scope, conditions, and exceptions of this right shall be determined in accordance with applicable law.

F-3. Exercise of cancellation rights

To exercise any applicable cooling-off or cancellation right, you must notify us within the period required by applicable law and follow our published return procedures, unless otherwise required by law. You must return the goods in accordance with applicable law and our instructions where such instructions are lawful and reasonable.

F-4. Exceptions

To the extent permitted by applicable law, certain goods may be excluded from cooling-off or cancellation rights, including but not limited to:

  • goods made to your specifications or clearly personalised;
  • perishable goods or goods with a short shelf life;
  • sealed goods not suitable for return for health or hygiene reasons once unsealed;
  • audio, video, software, or other categories excluded by applicable law.

F-5. Defective, damaged, or non-conforming goods

If goods are defective, damaged, or materially inconsistent with their description or the contract, you may be entitled to remedies under applicable law and our published policies, including repair, replacement, refund, or other appropriate relief.

F-6. Governing law and jurisdiction (Taiwan)

For consumers in Taiwan, these Terms are governed by the law stated in the main Terms, except that any mandatory provisions of Taiwan law that cannot be waived or limited by contract shall prevail to the extent applicable. Any jurisdiction clause in the main Terms applies only to the extent permitted by applicable law.

 

 

[Annex G] Additional Terms for Consumers in Singapore and Hong Kong

G-1. Mandatory local consumer protections

If you are a consumer residing in Singapore or Hong Kong, mandatory consumer protection laws applicable in your place of residence apply to the extent required by law. Nothing in these Terms is intended to exclude or restrict any non-waivable rights you may have under such laws.

G-2. Returns, cancellations, and displayed policies

Unless otherwise required by applicable law, returns, exchanges, cancellations, and related conditions for orders shipped to Singapore or Hong Kong are governed by the return, exchange, and cancellation policies displayed on our website at the time of purchase. Please review the relevant product page and policy page before placing your order.

G-3. No limitation of mandatory local rights

Nothing in our published policies is intended to limit any mandatory local rights or remedies that apply to consumers in Singapore or Hong Kong under applicable law, including rights relating to unfair practices, misleading representations, misdescriptions, or defective goods.

G-4. Defective, damaged, or non-conforming goods

If goods are defective, damaged, not of acceptable quality, unfit for purpose where applicable, or materially different from their description, you may be entitled to remedies under applicable law and our published policies, including repair, replacement, price reduction, refund, or other appropriate relief.

G-5. Made-to-order and personalised goods

To the extent permitted by applicable law, goods that are made to order, made to your specifications, or clearly personalised may not be cancelled, returned, or exchanged once production has begun or once the order has been confirmed for custom processing.

G-6. Fair dealing and product information

We will not intentionally engage in misleading, deceptive, or unfair practices prohibited by applicable law. Product descriptions, pricing, shipping charges, and key transaction terms will be presented on our website or related policies to the extent required by applicable law.

G-7. Governing law and jurisdiction (Singapore and Hong Kong)

For consumers in Singapore or Hong Kong, these Terms are governed by the law stated in the main Terms, except that any mandatory local consumer protection provisions that cannot be excluded by contract shall prevail to the extent applicable. Any jurisdiction clause in the main Terms applies only to the extent permitted by applicable law.

 

 

[Annex H] Additional Terms for Consumers in Vietnam and Thailand

H-1. Mandatory local consumer rights

If you are a consumer residing in Vietnam or Thailand, mandatory consumer protection laws and regulations applicable in your place of residence apply to the extent required by law. Nothing in these Terms is intended to exclude or limit any non-waivable rights you may have under such laws.

H-2. Online sales disclosures and consumer information

For orders shipped to consumers in Vietnam or Thailand, we will provide material information about the goods, pricing, shipping charges, payment methods, delivery timing, and return or cancellation conditions on our website, product pages, checkout pages, or related policy pages, to the extent required by applicable law.

H-3. Returns, exchanges, and cancellations

Unless otherwise required by applicable law, returns, exchanges, and cancellations for orders shipped to Vietnam or Thailand are governed by the return, exchange, and cancellation policies displayed on our website at the time of purchase. H-4. Made-to-order and personalised goods

Where local law in Vietnam or Thailand imposes specific requirements regarding product information, consumer notices, refunds, complaint handling, or dispute procedures, those requirements shall apply to the extent mandatory and applicable.

H-7. Governing law and jurisdiction (Vietnam and Thailand)

For consumers in Vietnam or Thailand, these Terms are governed by the law stated in the main Terms, except that any mandatory provisions of local law that cannot be excluded by contract shall prevail to the extent applicable. Any jurisdiction clause in the main Terms applies only to the extent permitted by applicable law.
